Advisory Services
We provide advisory services in areas including, but not limited to, international tax and legal advisory, business structuring and market entry, real estate tax planning, and advisory for athletes and high-net-worth individuals (HNWI).

No Guarantee of Outcome
We strive to deliver high-quality, professional advice; however, we do not guarantee any specific financial, legal, or commercial outcome. All decisions made based on our advice remain the client’s sole responsibility.

Engagement Terms
The scope, fees, deliverables, confidentiality, and liability for each engagement will be defined in a separate written agreement. These Terms complement, but do not replace, such agreements. In case of any conflict, the engagement agreement shall prevail.

Confidentiality
Vertex shall maintain in strict confidence all information provided by the client during the course of an engagement and shall not disclose it to any third party except:
(a) as required by law or regulatory authority, or
(b) with the client’s prior written consent.

This obligation shall survive the termination of the engagement.

Intellectual Property
All materials, analyses, reports, tools, and other deliverables produced by Vertex are the exclusive property of Vertex, unless otherwise stated in writing.
Clients are granted a limited, non-exclusive, non-transferable license to use such materials solely for their internal purposes.
No content from our Site or Services may be copied, distributed, modified, or used for commercial purposes without our prior written consent.

Use of the Website

  You may use the Site only for lawful purposes and in accordance with these Terms.

Disclaimers & Limitation of Liability

• No Warranty
  The Site and Services are provided “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

  To the fullest extent permitted by law, our total aggregate liability (whether in contract, tort, or otherwise) shall not exceed the amount you paid to Vertex for the specific services giving rise to the claim. Nothing in this section excludes liability for fraud, willful misconduct, or gross negligence.

  You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, or costs (including reasonable attorneys’ fees) arising from your use of the Site or your violation of these Terms.

Governing Law & Dispute Resolution

• Governing Law
  These Terms shall be governed by and construed in accordance with the laws of the UAE (or specify the Emirate, e.g., Dubai), unless otherwise required by local laws applicable to you.
• Dispute Resolution
  Any dispute arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiations. If unresolved, disputes may be submitted to mediation or arbitration in the UAE, or as mutually agreed by the parties.
• Changes to Terms
  We may revise these Terms periodically. When material changes are made, we will notify you via the Site or by email. Your continued use of the Site or Services after any changes constitutes acceptance of the revised Terms.
